We are recruiting a qualified solicitor who has a proven experience in drafting and negotiating a wide range of contracts, advising on corporate governance matters and in implementing new regulations. Experience of acting as a company secretary would be beneficial. You will be responsible for ensuring company compliance with statutory and regulatory requirements, you will provide a wide range of legal support with emphasis on all insurance and underwriting activities and corporate governance support.

You will provide solution oriented, practical legal advice and support to management and business teams and monitor legal, regulatory, compliance and internal developments affecting the business. Providing a comprehensive service, you will support the business with deal related activities, drafting, negotiating and/or reviewing documentation. This will include providing support and guidance to the underwriting and claims team on a range of insurance issues, wordings and disputes plus participating in conference calls with key clients if required to obtain feedback on outstanding contract issues.

You will build and maintain relationships with key business stakeholders to understand business strategy and tactical priorities. You will work with the Exec team on initiatives including potential acquisitions or on corporate restructures plus support the Chief Governance Officer on any corporate governance matters. In addition, you will manage and advise the Board on company secretarial matters including drafting agendas, Board resolutions, taking minutes of meetings, and ensuring statutory registers are maintained and accurate. You will prepare and file group statutory forms, ensuring the records held by Companies House are accurate.

You will lead, motivate, and develop the small compliance and legal team. The role offers variety, ownership, and the opportunity to get involved in key projects and initiatives across the business and would suit a senior legal professional who enjoys assisting the Board, being a business partner to all areas of the business; and is comfortable managing and being part of a small team.

About You

You will be a qualified solicitor who has a solid understanding of regulatory implications of insurance transactions, be familiar with the principles of regulations on Insurance Distribution (IDD) with experience of operating in regulated environments, including an understanding of internal control framework and compliance requirements under Solvency II framework.

As you will be liaising with all levels of the business, excellent interpersonal and communication skills are essential, as is a commercial and pragmatic approach with the ability to influence and direct all levels of stakeholders and to recommend and lead on a course of action. You must be able to understand broad business issues and be effective and confident in communicating complex messages, both in writing and verbally, to staff, customers, and outside counsel.

With excellent time management skills and the tenacity to achieve tight deadlines, you are able to work on your own initiative and navigate comfortably between different subject matters. Experience of leading, managing and developing a small team is desirable
